These Terms & Conditions (“Terms”) govern your access to and use of Vendor Tools and related websites, applications and services (together, the Services). By creating an account, browsing signed-in areas, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services. Our Privacy Policy explains how we handle personal data.
1. Who we are; agreement
The Services are operated by the entity identified as Vendor Tools (referred to as “we,” “us,” or “Vendor Tools”). You (“you,” “User”) enter into a binding legal agreement with us. Certain features (e.g. the marketplace, payments) are also subject to additional policies and third-party terms linked below.
2. Eligibility and accounts
- You must be able to form a legally binding contract in your jurisdiction and meet any minimum age we require for the Services (typically the age of majority or the age at which you may enter into online contracts locally).
- You must provide accurate registration information and keep it updated. You are responsible for all activity under your account and for safeguarding your credentials. Notify us promptly of any unauthorised use.
- One person or legal entity should not operate multiple accounts to evade restrictions, fees, bans or reviews, unless we expressly allow it (e.g. distinct business entities with our approval).
- We may require verification (identity, address, payment method, business details) before enabling or continuing access to certain features, including selling or withdrawals.
3. Licence to use the Services
Subject to these Terms and your compliance with them, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your own personal or internal business purposes related to managing collectibles, inventory, listings and related workflows — not to resell access to the platform, to operate a competing service on top of our data, or for any unlawful purpose.
We reserve all rights not expressly granted. The Services, including software, design, branding and compiled data (excluding your own content and third-party data you lawfully supply), are owned by us or our licensors.
4. Features of the site (overview)
Vendor Tools may include, now or in the future, features such as: card and product databases; inventory and portfolio tracking; marketplace listings and checkout; integrations (e.g. payments, postage, marketplaces); subscriptions or paid plans; team or multi-user access; livestream or community tools; suggestions and feedback channels; and administrative or seller tools. Availability, scope and limits of features may change. We do not guarantee that any particular feature will remain free, unchanged or available in all regions.
Use of specific features is subject to these Terms plus:
- Marketplace Policy — buying, selling, despatch, refunds and seller/buyer conduct on the marketplace.
- Shipping & Returns — postage, tracking and returns expectations.
- Fees — platform, subscription and transaction fees where applicable.
- Third-party terms (e.g. Stripe for payments) where you use those integrations.
5. Acceptable use
You agree to use the Services only in compliance with applicable law and these Terms. Without limitation, you must not:
- List, sell, ship or promote prohibited items (illegal goods, counterfeit items presented as genuine, stolen property, or items that violate another party’s rights or our marketplace rules).
- Engage in fraud, chargeback abuse, money laundering, triangulation or other deceptive trading practices.
- Harass, threaten, defame or discriminate against users, staff or others; or use the Services to stalk, dox or endanger anyone.
- Upload malware, probe or attack our systems, or attempt to gain unauthorised access to accounts, data or infrastructure.
- Circumvent security, rate limits, paywalls or feature restrictions (including using multiple accounts or technical means to evade limits).
- Impersonate another person, brand or entity, or misrepresent your affiliation.
- Use the Services to send spam, unsolicited bulk marketing, or phishing.
- Infringe intellectual property, privacy or publicity rights of others.
- Use the Services in any way that could damage, disable or overload the platform or interfere with other users’ use.
6. Abuse of tools, APIs and automation
The Services include tools (search, import, pricing, listing, API or scriptable flows, bulk actions, etc.) intended for fair, ordinary use. You must not abuse them. Examples of prohibited abuse include (without limitation):
- Scraping, harvesting or bulk-extracting our database, listings, prices or user data through automated means (bots, crawlers, headless browsers) except where we provide an official API or export and you stay within documented limits.
- Reverse engineering or attempting to extract source code or non-public APIs except as permitted by law.
- Excessive or abusive request volumes that degrade performance for others, including hammering endpoints, credential stuffing, or sharing tools that automate violations.
- Using tools to manipulate rankings, feedback, watchlists, votes or visibility in a deceptive or artificial way.
- Exploiting bugs or unintended behaviour to obtain unfair advantage, free access, or data you are not entitled to — report bugs to us instead.
We may throttle, block, revoke API keys or restrict features when we detect abuse. Repeated or serious abuse may result in account action under section 7.
7. Enforcement: warnings, suspension and bans
We may investigate reports and our own signals of misconduct. To protect the community, comply with law, and keep the Services reliable, we may take any action we reasonably consider appropriate, including without limitation:
- Issuing warnings or requiring corrective steps (e.g. updating listings, completing verification).
- Temporarily suspending your account or specific features (e.g. listing, buying, payouts, messaging).
- Permanently terminating your account and banning you from creating new accounts or using the Services again.
- Removing or editing content, cancelling pending transactions where permitted by law and payment rules, withholding or reversing payouts where we reasonably suspect fraud or chargeback risk, and cooperating with law enforcement.
You may be subject to such action if you breach these Terms, abuse tools or the platform, harm other users, create legal or financial risk for us or others, or fail to follow applicable policies (including the Marketplace Policy and Shipping & Returns). We are not obliged to provide detailed reasons for every enforcement decision, particularly where doing so would compromise security, ongoing investigations or other users’ privacy — but we will endeavour to communicate clearly where practical. You may contact support to appeal or clarify; our decision after review is final except where mandatory consumer rights apply.
Termination does not erase obligations that accrued before termination (e.g. completing outstanding legal orders, paying amounts owed, or indemnities below).
8. User content and intellectual property
You retain ownership of content you upload (photos, descriptions, comments, etc.), subject to licences needed to run the Services. You grant us a worldwide, non-exclusive licence to host, display, process and distribute that content in connection with the Services (including showing listings to buyers and operating search and support).
You represent that you have the rights to your content and that it does not violate third-party rights or law. We may remove content that violates these Terms or that we are required to remove. Database and catalogue content provided by Vendor Tools remains ours or our licensors’; you may not redistribute it outside permitted use.
9. Marketplace, payments and third parties
On the marketplace, sales are between buyers and sellers; Vendor Tools facilitates the platform and payment flow. You agree to the Marketplace Policy. Payments may be processed by Stripe (or similar); their terms and privacy policy apply to payment data. We are not liable for failures of third-party carriers, payment networks or integrated marketplaces beyond what the law requires.
10. Subscriptions and fees
Paid plans, transaction fees and other charges are described on our Fees page and at checkout. Failure to pay may result in restricted access. Unless stated otherwise, fees are non-refundable except as required by law or our published refund rules.
11. Disclaimers
The Services are provided “as is” and “as available”. We disclaim warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation, or that data will be loss-free. Pricing, market estimates and tools are informational; they are not financial, tax or legal advice. You rely on them at your own risk.
12. Limitation of liability
To the maximum extent permitted by applicable law, Vendor Tools and its directors, employees and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, data, goodwill or business opportunities, arising from your use of the Services or these Terms, even if advised of the possibility. Our aggregate liability for claims relating to the Services or these Terms (per event or series of connected events) shall not exceed the greater of (a) the fees you paid us for the Services in the twelve months before the claim or (b) one hundred pounds sterling (£100), except where liability cannot be excluded (e.g. death or personal injury caused by negligence, fraud, or other non-waivable rights).
13. Indemnity
You will defend, indemnify and hold harmless Vendor Tools and its affiliates from claims, damages, losses and expenses (including reasonable legal fees) arising from your use of the Services, your content, your listings or sales, your breach of these Terms, or your violation of law or third-party rights.
14. Changes
We may modify these Terms or the Services. We will post updated Terms and update the “Last updated” date. Material changes may be notified by email or in-app. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Services and close your account where available.
15. General
- Governing law. These Terms are governed by the laws of England and Wales, subject to mandatory consumer protections in your country of residence where applicable.
- Courts. You and we submit to the exclusive jurisdiction of the courts of England and Wales, except that consumers may bring claims in their home courts where EU/UK consumer law requires.
- Assignment. We may assign these Terms; you may not assign without our consent.
- Severability. If any provision is invalid, the remainder remains in effect.
- Entire agreement. These Terms, together with the policies linked herein, constitute the entire agreement regarding the Services, superseding prior understandings on the same subject.
- No waiver. Failure to enforce a provision is not a waiver.
